These terms govern your use of Quaddro's website, products, and services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Quaddro, Inc. ("Quaddro," "we," "our," or "us"), a company headquartered in Miami, Florida, United States. These Terms govern your access to and use of the Quaddro website located at quadaro.com (the "Site"), and any services, products, software, content, and features offered by Quaddro, including the Mission OS platform and related applications (collectively, the "Services").
Please read these Terms carefully before using our Site or Services. By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must discontinue use of the Site and Services immediately.
IMPORTANT NOTICE REGARDING DRONE OPERATIONS: Quaddro's drone systems and software are designed for operation by trained, licensed operators in compliance with all applicable aviation regulations. Nothing in these Terms or our website constitutes authorization to operate any aircraft in violation of applicable laws, regulations, or airspace restrictions. You are solely responsible for ensuring your operations comply with all applicable requirements.
By using the Site or Services, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms; (c) if you are accepting these Terms on behalf of a company or organization, you have the authority to bind that entity; and (d) your use of the Site and Services complies with all applicable laws and regulations.
If you are accepting these Terms on behalf of a company or legal entity, references to "you" in these Terms apply to both you individually and the entity you represent. You remain personally responsible for ensuring your organization's compliance with these Terms.
Quaddro reserves the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version of these Terms on the Site with a revised "Last Updated" date. For changes that materially affect your rights or obligations, we will provide additional notice, such as email notification to registered account holders.
Your continued use of the Site or Services after the effective date of any revision constitutes your acceptance of the modified Terms. If you do not agree to the revised Terms, you must discontinue use of the Site and Services.
Subject to your compliance with these Terms, Quaddro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or business purposes in connection with evaluating, purchasing, or using Quaddro's products and services.
You agree not to use the Site or Services to:
All orders for Quaddro products, including drone systems, sensor modules, spare parts, and accessories, are subject to Quaddro's acceptance. We reserve the right to refuse or cancel any order for any reason, including product availability, inaccuracies in product or pricing information, or suspected fraudulent or unauthorized activity.
Prices for Quaddro products and services are as quoted in the applicable purchase agreement, quotation, or order confirmation. All prices are in United States Dollars unless otherwise specified. Quaddro reserves the right to change prices at any time; however, price changes will not affect orders that have been accepted. Payment terms are as specified in the applicable purchase agreement or, in the absence of specific terms, net 30 days from invoice date for qualified commercial customers.
Risk of loss and title for physical products pass to you upon delivery to the carrier at Quaddro's shipping facility. Delivery estimates are provided in good faith but are not guaranteed. We are not responsible for delays caused by carriers, customs authorities, or other factors outside our reasonable control.
Quaddro's drone systems and related technology are subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security, and in some cases the International Traffic in Arms Regulations (ITAR) administered by the Directorate of Defense Trade Controls. By ordering or receiving Quaddro products, you agree to comply fully with all applicable export control laws and regulations. You represent that neither you nor any entity on whose behalf you are acting is located in, organized under the laws of, or ordinarily resident in any country subject to U.S. embargo, or is listed on any U.S. government restricted parties list.
Subject to these Terms and any applicable software license agreement, Quaddro grants you a limited, non-exclusive, non-transferable license to use the Mission OS software and any other software products provided by Quaddro solely for your authorized operational purposes in connection with Quaddro hardware products. This license does not include the right to sublicense, sell, resell, distribute, or otherwise transfer the software to any third party.
Quaddro may release updates, patches, or new versions of its software products. For safety-critical updates, we may require installation of updates as a condition of continued authorized operation of Quaddro systems. You are responsible for maintaining your systems on current or supported software versions.
You own the data collected by Quaddro drone systems during your operations, including imagery, sensor data, telemetry logs, and processed outputs. Quaddro does not claim ownership of your operational data. Anonymized, aggregated performance and telemetry data may be used by Quaddro to improve product performance and develop new features; see our Privacy Policy for details.
The Site and all content, features, and functionality of the Site and Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement of such content (collectively, "Quaddro Content"), are owned by Quaddro, its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Quaddro's name, logo, product names, and service names displayed on the Site are registered or unregistered trademarks of Quaddro or its affiliates. Nothing in these Terms grants you any license to use any Quaddro trademark without our express written permission.
Quaddro grants you a limited, non-exclusive, non-transferable license to access and view Quaddro Content solely for your personal, non-commercial use in evaluating Quaddro's products and services. This license does not permit you to: copy, reproduce, modify, publish, distribute, transmit, publicly display, create derivative works from, or commercially exploit any Quaddro Content without our express written permission.
If you provide Quaddro with any suggestions, ideas, improvements, or feedback regarding the Site, Services, or products ("Feedback"), you grant Quaddro a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback in any manner and for any purpose, without compensation to you.
You are solely responsible for the safe operation of any Quaddro drone system. This includes but is not limited to: obtaining all required certifications, licenses, and operational authorizations; complying with all applicable aviation regulations and airspace restrictions; conducting thorough pre-flight inspections; operating within the documented performance envelope of the aircraft; and ensuring your operations do not endanger persons, property, or other aircraft.
Commercial drone operations in the United States are governed by FAA regulations under 14 CFR Part 107 and other applicable rules. International operations are subject to the regulations of the applicable national aviation authority. Nothing in these Terms or any Quaddro marketing or technical material constitutes legal advice or authorization to operate in a manner that violates applicable regulations.
Quaddro drone systems are intended for use by trained, qualified operators. We strongly recommend that all operators complete formal training on the specific Quaddro platform they operate before conducting commercial missions. Quaddro offers operator training programs; contact us for details.
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. QUADDRO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
QUADDRO DOES NOT WARRANT THAT: (A) THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) THE RESULTS OBTAINED FROM USE OF THE SITE OR SERVICES WILL BE ACCURATE OR RELIABLE; OR (C) ANY ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED.
PRODUCT WARRANTIES FOR QUADDRO HARDWARE ARE AS STATED IN THE APPLICABLE PRODUCT WARRANTY DOCUMENTATION PROVIDED WITH OR ACCOMPANYING THE PRODUCT. ALL HARDWARE WARRANTIES ARE LIMITED TO THE TERMS STATED IN THAT DOCUMENTATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUADDRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, SERVICES, OR QUADDRO PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF QUADDRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL QUADDRO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, SERVICES, OR PRODUCTS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO QUADDRO IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, Quaddro's liability will be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Quaddro and its officers, directors, employees, contractors, agents, licensors, suppliers, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your use or operation of Quaddro products; (d) your violation of any applicable law or regulation; or (e) your infringement of any intellectual property or other rights of any third party.
These Terms and any dispute arising out of or related to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Miami, Florida. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a party's claims or defenses were frivolous or brought in bad faith, in which case the arbitrator may award the prevailing party its costs and reasonable attorneys' fees.
You agree that any arbitration or other legal proceeding will be conducted on an individual basis and not as part of any class, collective, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the foregoing arbitration provisions, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
These Terms, together with our Privacy Policy and any applicable product agreements, constitute the entire agreement between you and Quaddro with respect to the subject matter herein and supersede all prior and contemporaneous agreements, understandings, and communications.
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Quaddro's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or your rights hereunder without Quaddro's prior written consent. Quaddro may assign these Terms without restriction. These Terms shall be binding on and inure to the benefit of the parties and their successors and permitted assigns.
